Software License Agreement (EULA)

This Software License Agreement ("Agreement") is between Optix Gen Automation ("Licensor") and the organization accepting a quote or order ("Licensee").

1. Grant

Licensor grants Licensee a non-exclusive, non-transferable license to use OptixGen software for the licensed seat count and term stated in the order or invoice, subject to this Agreement.

2. Scope of software

OptixGen includes Windows Hub components, optional field applications, and related documentation. Licensee deploys Hub on Licensee-controlled infrastructure unless otherwise agreed in writing.

3. Output disclaimer

OptixGen produces review-ready PLC, HMI, wiring, and evidence artifacts. Licensee is solely responsible for engineering review, validation, import/open checks, and runtime testing before release. OptixGen does not deliver certified, stamped, or commission-ready deliverables.

4. Field safety

Field capture features are read-only by default. Licensee must not use OptixGen to perform unauthorized PLC writes, downloads, online edits, forces, or mode changes unless explicitly enabled and approved under Licensee's safety procedures.

5. Restrictions

Licensee may not exceed licensed seats, reverse-engineer except as permitted by law, sublicense, or remove proprietary notices.

6. Independence

OptixGen is independent third-party software. FactoryTalk, Optix, and related marks are trademarks of Rockwell Automation. Licensor is not affiliated with or endorsed by Rockwell Automation.

7. Support and updates

Support and update terms are as stated in the order. Pilot programs may have separate evaluation terms.

8. Termination

Licensor may terminate for material breach. Upon termination, Licensee must stop use and destroy copies except as required for records.

9. Warranty disclaimer

Software is provided "as is" to the maximum extent permitted by law.

10. Entire agreement

Order documents, Payment terms, and Refund policy supplement this Agreement. Have counsel review before your first paid external deployment.
